Terms and Conditions for City Owners As City Owner you agree to the following Terms of Use and Ownership Agreement. 1.Acceptance of Agreement. You agree to the terms and conditions outlined in this Terms of Use and Ownership Agreement ("Agreement") with respect to our site (the "Site"). This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content, products or services provided by or through the Site, and the subject matter of this Agreement. This Agreement may be amended at any time by us from time to time without specific notice to you. The latest Agreement will be posted on the Site, and you should review this Agreement prior to using the Site. The terms and conditions for City Owners are regulated in Attachemen A of these conditions. 2.Copyright. The content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by you of any such matters or any part of the Site, except as allowed by Section 4 below, is strictly prohibited. You do not acquire ownership rights to any content, document or other materials viewed through the Site. The posting of information or materials on the Site does not constitute a waiver of any right in such information and materials. Some of the content on the site is the copyrighted work of third parties. 3.Service Marks. "USACityDirect.com" and others are our service marks or registered service marks or trademarks. Other product and company names mentioned on the Site may be trademarks of their respective owners. 4.Limited License; Permitted Uses. You are granted a non-exclusive, non-transferable, revocable license (a) to access and use the Site strictly in accordance with this Agreement; (b) to use the Site solely for internal, personal, non-commercial purposes; and (c) to print out discrete information from the Site solely for internal, personal, non-commercial purposes and provided that you maintain all copyright and other policies contained therein. No print out or electronic version of any part of the Site or its contents may be used by you in any litigation or arbitration matter whatsoever under any circumstances. 5.Restrictions and Prohibitions on Use. You agree to indemnify, defend and hold us and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates (collectively, "Affiliated Parties") harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to your violation of this Agreement or use of the Site. 14.Nontransferable. Your right to use the Site is not transferable or assignable. Any password or right given to you to obtain information or documents is not transferable or assignable. 15.Disclaimer. You agree that use of or purchase from such Merchants is AT YOUR SOLE RISK AND IS WITHOUT WARRANTIES OF ANY KIND BY US, EXPRESSED, IMPLIED OR OTHERWISE INCLUDING WARRANTIES OF TITLE, FITNESS FOR PURPOSE, MERCHANTABILITY OR NON-INFRINGEMENT. You represent and warrant that if you are purchasing something from us or from Merchants that (i) any credit information you supply is true and complete, (ii) charges incurred by you will be honored by your credit card company, and (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes. 22.Securities Laws. Definitions The term Us, the seller or We is to be understood as USACityDirect.com its owners Ingar Hagen and WI Oil & Gas, Inc. The term you, City Owner, the client or the buyer is the term used describing the company, organization or individual that is purchasing a city on the USACityDirect.com service. The terms city, town or USACityDirect.com City is used to describe a part of the web-site that the buyer has purchased the user right to. 2. Uses and rights When you buy a city you have the right to post news and articles on the area of that city on USACityDirect.com. You can also yourself decide the pricing of the services offered on this site. These services includes Classified Ads, Real Estate Market, Event Calendar, Auto Market and Business Directory. You have furthermore the right to place banner advertising generated through Google Adsense or Amazoon.com or any other network you chooses on the area of your city. 3. Limitations of use You can not post any information, advertisements or any other content that includes pornographic content or any content that promotes illegal activities. Furthermore you can not change the design or codes of your city's web-area. 4. Network advertisements We have reserved two areas for network advertisements. These advertisement areas will be seen on the top and bottom of your city's web-site area. You have no right to income from these advertisements. 5. Fees You pay only a one time setup fee for your city. This one time fee includes all future updates and upgrades, hosting and all the features included. 6. Online Payment integration You are yourself responsible of opening a PayPal account and to update your city's information with the e-mail address you use to receive payments through PayPal. If you fail to do this the payments will be made directly to USACityDirect.com and we will retain a 30% service fee. 7. Google Adsense and Amazon.com IDs You are yourself responsible of updating your city's information with your Adsense ID and your Amazon Associate ID. Failing to do so will result in USACityDirect.com's IDs being used, and we will keep all income from these advertisements. 8. Marketing and promotion You can promote your city wherever and however you want. However the use of SPAM or any other illegal activity will result in your account beeing closed and USACityDirect.com will in such instances retain the user rights without further notice or compensation. 9. Ownership You are purchasing the user rights of the web-area of your city. Ownership is held by USACityDirect.com and its owners. 10. Sale of User Right You can sell the user rights of your city to anyone you choose for any price you yourself chooses. 11. Multiple Cities You can purchase the user rights to how many cities you want. These terms and conditions apply also to all future city purchases. 12. Client responsibility You are yourself responsible to your own clients. 13. User registrations Any users that registers as members on your city's web-area remains the property of USACityDirect.com and its owners. You have no right to contact information or any other information about these members. 14. Client information You have the right to collect the data that is collected through PayPal.com of your clients. USACityDirect.com and its owners remains the owner of any additional data that is collected through the USACityDirect.com service. 15. Copyright The graphics, layout and information provided by us is the property of USACityDIrect.com. Any text or other content you upload to the service you retain copyright of. USACityDirect.com has the right to use any content uploaded tou our service as we see fit, this includes in marketing and promotion, on other web-sites, in publications, print and other medias and in any other way we so chooses. USACityDirect.com shall not pay you as copyright holder any fees for this use. The right of use of such material is given to USACityDirect.com for life. 16. Uploading of other copyrighted content. When uploading any content to USACityDirect.com you confirm that you have the permission to use the content on USACityDirect.com and you also confirm that you have informed the copyright holder of paragraph 15 in these terms and conditions. 17. Liability USACityDirect.com its owners, partners and affiliates can not be hold responsible or liable for any economical or other damage you may suffer as a direct or indirect consequence of purchasing the user rights to cities on USACityDirect.com. Furthermore USACityDirect.com its owners, partners and affiliates can not be hold responsible or liable for any economical or other damage that your clients suffers as a result of buying access to any of the services through your city web-area. 18 Guarantees and Warranties USACityDirect.com its owners, partners and affiliates gives no guarantees or warranties for the service provided. This includes server uptime, bandwidth limitations, network problems, income from advertisements and services. 19. Changing of terms and conditions USACityDirect.com reserves the right to change these terms and conditions. Such changes will be announced on our web-site a minimum of 60 days prior to the changes being made. 20. Termination of contract and account USACityDirect.com can terminate your account and contract without any notice if you violate any of the conditions herein. You are not entitled to any compensation for such termination
